Position Summary
Ethos Veterinary Health is seeking an experienced Senior Counsel, Corporate to serve as a strategic legal partner on corporate transactions, joint ventures, and governance matters that are critical to Ethos’s growth and structure. This role will focus on corporate activity—including acquisitions, divestitures, joint ventures, and other corporate initiatives—as well as governance and subsidiary management.
The ideal candidate will bring strong corporate transactional skills and sound judgment, combined with the ability to act as a trusted business partner who balances legal precision with commercial objectives.
Key Responsibilities
Location: Remote, preference for proximity to business hubs in Austin, TX or Toronto, ON
Travel: Periodic travel for key business engagements
Reports To: General Counsel, Ethos Veterinary Health
The base salary range for this full-time position is $170,000 - $190,000. Our salary ranges are primarily determined by role, level, and location. The range provided for each job posting reflects the minimum and maximum target salaries for the position across all US locations. Within the range, individual pay is determined by work location and additional factors, including job-related skills, experience, and relevant education or training. Ethos Veterinary Health is seeking an experienced Senior Counsel, Corporate to serve as a strategic legal partner on corporate transactions, joint ventures, and governance matters that are critical to Ethos’s growth and structure. This role will focus on corporate activity—including acquisitions, divestitures, joint ventures, and other corporate initiatives—as well as governance and subsidiary management.
The ideal candidate will bring strong corporate transactional skills and sound judgment, combined with the ability to act as a trusted business partner who balances legal precision with commercial objectives.
Key Responsibilities
- Lead legal support on company transactions—including acquisitions, divestitures, joint ventures, and other strategic corporate initiatives—developing structure, negotiation, and execution.
- Provide guidance on corporate governance, entity management, and subsidiary structure, including deployment of governance technology and processes.
- Support strategic projects requiring corporate expertise, from restructuring and capitalization initiatives to cross-functional business priorities.
- Cultivate and maintain strong relationships with joint venture partners and counterparties, ensuring transparency, alignment, and long-term success.
- Manage outside counsel on transactions to ensure high-quality, cost-effective outcomes.
- Monitor and advise on corporate and regulatory developments that impact corporate activity, governance, and related strategic matters.
- Balance legal risk with operational and business objectives to support informed, high-quality decision-making.
- J.D. from an accredited law school and active license to practice in at least one U.S. jurisdiction.
- 7+ years of legal experience, with a strong focus on corporate transactions (acquisitions, divestitures, joint ventures), and strong firm or in-house experience.
- Demonstrated ability to structure, negotiate, and execute complex corporate initiatives.
- Experience in multi-site services, healthcare or veterinary services, or related industries is an asset.
- Exceptional communication and relationship-building skills, with the ability to influence across the organization and with external partners.
- Strategic thinker with strong business judgment and the ability to operate effectively in a fast-paced, collaborative environment.
- Willingness to travel up to 4-6 times per year (once or so a quarter).
