The Senior Paralegal is responsible for general corporate work, including assisting with public company securities filings; assisting with drafting corporate documents and legal notices; overseeing and maintaining corporate records and state filings; conducting legal research and review; assisting with corporate governance matters; and other legal project work as needed. This position will report to the Associate General Counsel – SEC and support the other attorneys in the legal department. This position is remote but may require occasional meetings in the office.



  • Support the preparation of SEC filings (e.g., 10-Ks, 10-Qs, 8-Ks, and proxy statements) and associated disclosure control processes

  • Oversight of all Section 16 matters, including preparing and filing Forms 4, under the supervision of an attorney

  • Assist with general corporate governance processes, including Director and Officer Questionnaires and related person transactions

  • Assist in the administration of the insider trading policy and organizing/tracking 10b5-1 trading plans

  • Assist with the preparation and posting for Board of Director and Board committee materials and overall maintenance of the BoardVantage electronic Board portal

  • Assist with the planning and logistics for the Annual Stockholders Meeting

  • Assist with entity formation and maintenance, perform corporate organizational tasks including filing organization documents and updating the org chart, prepare and file annual reports or amendments to articles of incorporation, maintain database for subsidiaries and oversee subsidiary minute books

  • Drafts legal documents, communications and reports under minimal attorney supervision

  • Prepare Legal Hold Notices and track Service of Process

  • Conduct Legal Review and assist with due diligence requests as needed

  • Assist with trademarks maintenance

  • Coordinate regulatory filings in the area of finance and telemarketing

  • Prepare Real Estate Estoppels/SNDAs

  • Prepare and file Business Wire/NASDAQ press releases and dividend notices



Knowledge, Skills and Abilities, Competencies



  • Ability to balance competing priorities and meet deadlines in a dynamic, fast-paced environment.

  • Strong organizational skills and attention to detail.

  • Excellent written and oral communication skills, including the ability to communicate effectively at all levels of our organization.

  • Ability to work independently and collaboratively, with minimal supervision.

  • Ability to evaluate information to determine compliance with standards, laws, and regulations.

  • Strong technology skills, including extensive experience with Microsoft Office Word, Excel, and Outlook.

  • Knowledge of Nasdaq’s BoardVantage, CSC’s entity management system and RRD’s ActiveDisclosure a plus.


Education and Experience: Minimum



  • 7+ years of paralegal experience with a publicly traded institution and/or with a law firm assisting public company clients

  • Bachelor’s degree in a legal related field from an institution accredited by an agency recognized by the U.S. Department of Education or equivalent experience


Education and Experience: Preferred



  • 10+ years of paralegal experience with a publicly traded institution of higher education

  • Paralegal certificate

  • Notary (Illinois)
